OverviewSidebeam is an AI assistant service. By using it, you agree to these Terms and the Privacy Policy. You must use the service lawfully, maintain the security of your account, and connect only those third-party services you are authorized to use. You retain ownership of your content; Sidebeam requires a limited license to process that content to provide the service. AI-generated output may be inaccurate and should be reviewed before reliance. Credits measure billable usage, prices are those shown at purchase, and balances and limits apply as displayed in the product.
1. Acceptance of these Terms
These Terms of Service (the "Terms") constitute a binding agreement between you and the organization that operates the Sidebeam deployment you access ("Sidebeam," "we," "us," or "our"). By creating an account, authenticating, or otherwise accessing or using Sidebeam, you accept and agree to be bound by these Terms and by the Privacy Policy.
These Terms apply to the Sidebeam website and web application, browser extension, computer companion, and any other Sidebeam products or experiences that reference these Terms. If a separate written agreement governs your deployment, that agreement also applies and prevails to the extent of any conflict with these Terms.
You represent that you are of legal age to enter into a binding contract in your jurisdiction and meet any minimum age required to use online services where you reside. If you access Sidebeam on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.
2. The Service
Sidebeam provides AI-assisted productivity features that may include conversations, files, knowledge, tasks, notifications, connected services, browser and computer actions, and related functionality made available to your account (collectively, the "Service").
The features, interfaces, and availability of the Service may vary by plan, deployment configuration, region, connected service, or device. We may modify, suspend, or discontinue any part of the Service, including individual features, at any time.
Features designated as preview, beta, experimental, or similar may be incomplete, less reliable, subject to additional conditions, or withdrawn with limited notice.
3. Accounts and Security
You are responsible for all activity occurring under your account and for maintaining the confidentiality and security of your authentication credentials, recovery methods, and authorized devices.
- You agree to provide accurate account information and to keep such information reasonably current.
- You must not share credentials, one-time codes, or recovery methods in a manner that enables unauthorized access or impersonation. You should periodically review authorized devices and revoke access that is no longer required.
- You must notify us promptly if you become aware of any unauthorized access to, or use of, your account.
4. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. You shall not, and shall not attempt to:
- Use the Service to violate applicable law, infringe the rights of others, or engage in or facilitate fraud, scams, malware distribution, or unauthorized access to systems or data.
- Interfere with, disrupt, overload, reverse engineer (except to the limited extent permitted by law), scrape, or circumvent product limits, security measures, rate limits, or access controls.
- Misrepresent your identity, affiliation, or authority, including when the Service acts through a connected service on your behalf.
- Submit, upload, generate, or transmit content that is unlawful, that you do not have the right to use, or that is otherwise prohibited under these Terms.
- Request, create, upload, edit, transmit, publish, or share pornographic, NSFW, sexually explicit, sexually graphic, or sexually suggestive content, including any sexualized or exploitative content involving minors.
- Create, facilitate, or distribute face swaps, deepfakes, synthetic impersonations, or other face- or identity-manipulated media.
- Use automation, multiple accounts, or other means to unfairly exhaust free, trial, welcome, promotional, or other limited allowances as displayed in the product.
- Where the Service can perform actions through browsers, computers, email, messaging applications, cloud storage, or other tools, you remain solely responsible for the instructions you provide and for determining that such actions are authorized and appropriate.

5. Your Content and License Grant
As between you and Sidebeam, you retain all right, title, and interest in and to content you create, upload, or otherwise provide to the Service ("Your Content"), subject to the rights of third parties and applicable third-party terms.
You grant Sidebeam a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, reproduce, and otherwise use Your Content solely as necessary to provide, maintain, secure, and improve the Service, to perform actions you request, and to operate features you enable.
You represent and warrant that you have all rights, licenses, and permissions necessary for Your Content and for any third-party services you connect. You must not use the Service with information that you are not authorized to process under your own policies or contractual obligations.
Subject to these Terms and applicable law, Sidebeam does not claim ownership of model-generated outputs produced for you. Outputs may not be unique, and similar or identical results may be provided to other users.
6. Artificial Intelligence and Automation
The Service uses artificial intelligence models and automated workflows to generate responses, summaries, plans, files, code, applications, and other results, and may execute multi-step actions at your request.
Sidebeam is an independently developed and operated product that provides some AI features through third-party models. Sidebeam is not an official product of, affiliated with, or endorsed by those model providers. Their names and trademarks belong to their respective owners.
AI-generated content may be incomplete, outdated, inaccurate, or unsuitable for your purpose. You are solely responsible for reviewing outputs before relying on them for any decision or high-impact use, including legal, medical, financial, or publication contexts.
When you instruct the Service to operate a browser, computer, mailbox, drive, messaging tool, or similar connection, the Service will attempt to perform the requested work within available permissions. You should supervise sensitive actions and stop or reverse them when appropriate.
Model providers and other subprocessors may process instructions and related context as needed to complete a request, subject to the arrangements applicable to your deployment. Additional information regarding data processing is set out in the Privacy Policy.
7. Connected Services and Third Parties
The Service may permit you to connect email accounts, cloud storage, messaging applications, websites, external tools, browsers, computers, and other third-party services.
Such connections operate only within the permissions you grant and the capabilities of the connected service. Where available, you may disconnect integrations through account settings.
Third-party services are governed solely by their own terms and privacy policies. Sidebeam is not responsible for the availability, performance, content, or decisions of any third-party service.
If you create a public link, group conversation, generated application, or other shared experience, any person with access may view the content and identity information displayed in accordance with the design of that feature.
8. Plans, Credits, and Payment
Access to certain features, capacity, or usage levels may depend on a plan, Credit balance, quota, waitlist status, or deployment configuration as displayed in the product. This section explains how Credits relate to fees and usage.
What Credits are
Credits are prepaid units of account used to measure and authorize billable use of the Service. Credits are not legal tender, do not earn interest, and are not a bank deposit, stored-value instrument, or transferable property that you can withdraw as cash, unless a written offer expressly states otherwise.
Purchases and displayed prices
Where Credit packs or other paid options are offered, the price, currency, included Credits (including any bonus Credits), and other material terms are those shown for the selected pack at checkout. Pack purchases are generally one-time payments for the Credits stated in that offer; they do not create a recurring subscription unless the product clearly presents an auto-renewing plan and you accept it.
How usage relates to Credits
Billable activity may consume Credits from your balance. Consumption depends on the actual work performed—for example model calls, conversation length and complexity, tools you enable (such as search, code execution, browser or computer actions, image, speech, or document recognition), retries, background steps needed to complete a request, and related processing. Different models, tools, and workloads can consume different amounts of Credits for work that looks similar in the interface.
Because consumption is based on actual usage, the Credits deducted for a task are not fixed in advance. Two similar requests can cost different amounts if they use different models, tools, context, or number of steps. Estimates, examples, or historical averages shown in the product—if any—are illustrative only and do not cap or guarantee the Credits that will be charged for a particular request.
Balances and product limits
Your available Credits, purchase options, and any free, trial, welcome, or promotional grants applicable to your account are shown in the product interface. Free allowances and promotional Credits may expire, change, or be subject to additional conditions as stated when they are offered. File storage, concurrent capacity, waitlist access, and other quotas may be limited separately from your Credit balance.
Insufficient Credits
If your Credit balance is insufficient for a new billable action, the Service may refuse, pause, or limit that action until you top up or until free capacity is available. Work that has already begun and incurred real provider cost may still be fully accounted for against your balance, including bringing a balance temporarily below zero when necessary to record completed usage; subsequent top-ups first restore any such shortfall.
Payment processing and taxes
Paid top-ups and other purchases are processed by the payment methods and processors available in your deployment. The purchase flow and any payment-processor terms presented at checkout also apply. Applicable taxes may be added where required by law. Payment confirmation timing can affect when purchased Credits appear in your account.
Refunds, chargebacks, and adjustments
Unless required by applicable law or expressly stated at the time of purchase, paid Credits are generally non-refundable once payment is confirmed and Credits are added to your account. Refunds, chargebacks, payment disputes, or administrative adjustments may reverse, freeze, or reduce Credits associated with the affected payment, as reflected in your account and any notices we provide.
No outcome warranty
Credits measure permitted usage of the Service. They do not guarantee model quality, task success, speed, availability, or any third-party outcome. A failed, interrupted, or unsatisfactory result may still consume Credits when underlying billable processing occurred.
9. Sidebeam Intellectual Property
The Service, including its software, interfaces, design, branding, documentation, and all content other than Your Content, is owned by Sidebeam or its licensors and is protected by intellectual property and other laws.
Subject to your compliance with these Terms, Sidebeam grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your personal or internal business purposes.
Except as expressly permitted by law or by prior written authorization, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on Sidebeam's non-user materials.
10. Availability and Disclaimers
We endeavor to keep the Service available and functional, but do not guarantee continuous, uninterrupted, error-free, or permanent availability. Maintenance, outages, third-party failures, and feature changes may occur.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
The Service is a general productivity and assistance tool. It is not a substitute for professional legal, medical, financial, tax, or other regulated advice, and no professional relationship is created by your use of the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIDEBEAM AND THE ORGANIZATION OPERATING YOUR DEPLOYMENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR FOR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SIDEBEAM AND THE ORGANIZATION OPERATING YOUR DEPLOYMENT ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO USE SIDEBEAM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US$50) OR THE EQUIVALENT IN LOCAL CURRENCY.
The foregoing limitations do not apply to liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or other non-waivable rights.
12. Suspension and Termination
You may stop using the Service at any time. Where the product provides an account-deletion control, you may delete your account through the applicable settings.
We may suspend or terminate your access to the Service, in whole or in part, if you violate these Terms, if required by law, if the Service is discontinued, or if continued use presents a risk to users, third parties, or the platform.
Upon termination, your right to access and use the Service ceases immediately. Provisions that by their nature should survive termination—including ownership, license grants as needed for residual processing, disclaimers, limitations of liability, and governing-law provisions—shall survive. Account deletion and retention of certain records are described in the Privacy Policy.
13. Changes, Governing Law, and Contact
Changes to these Terms
We may amend these Terms from time to time to reflect changes in the Service, legal requirements, or operational practices. We will update the effective date above and, where a change materially affects your rights or obligations, provide additional notice as required. Your continued use of the Service after an amendment becomes effective constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by the laws applicable to the organization operating your Sidebeam deployment, without regard to conflict-of-law principles that would require the application of the laws of another jurisdiction, except to the extent mandatory consumer-protection laws in your place of residence cannot be waived by agreement.
General Provisions
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Privacy Policy and any additional product notices applicable to a feature, constitute the entire agreement between you and Sidebeam regarding the Service, unless a separate written agreement expressly provides otherwise. Failure to enforce any provision is not a waiver of that provision or any other provision.
